Source Code, IP & Platform Handover
Agree what you will receive, what you can modify and how the platform can be operated or migrated. Ownership and exit provisions should be visible before the first development milestone.
Separate custom deliverables from vendor products
A project may combine commissioned code, open-source software, licensed platform modules, provider SDKs and content contracts. Each component has a different rights and support boundary.
The agreement should identify source-code delivery, permitted use, modification rights, dependencies and any restrictions on deployment or transfer. It should not describe the whole platform as owned code when key products remain licensed.
Make the handover useful to the next team
A repository alone is not a complete handover. The agreed package should include build and deployment instructions, configuration guidance, API contracts, data models, test evidence and operational runbooks.
Secrets and credentials are transferred through an approved secure channel. Access is reviewed when team members change, and production credentials should not be committed to source control.
Plan data access and exit before it becomes urgent
Data export rights, usable formats, provider migration responsibilities and transition support should be defined in the operating agreement. Financial balances and transaction histories need reconciliation when platforms change.
An exit rehearsal can demonstrate whether a new team can deploy the commissioned software, understand its dependencies and recover the agreed data. Legal ownership terms remain part of the signed commercial documentation.
